Welcome to the services provided by Llama Monkey LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website at www.llamamonkey.com, the SnapMonkey application and service, and any other products or services we offer (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using any part of our Services, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Llama Monkey LLC develops and operates software products for creative professionals. Our current Services include:

• SnapMonkey: A cloud-based service that enables automatic wireless transfer of photos and videos from Canon WiFi-enabled cameras to cloud storage providers (including Microsoft OneDrive, Google Drive, and Dropbox) via FTP.
• LMID (Llama Monkey ID): A unified authentication service providing single sign-on across all Llama Monkey products. One identity to access SnapMonkey, LiftMonkey, and future products.
• LiftMonkey: A media extraction tool that downloads photos and videos from social media URLs, with optional cloud storage routing via SnapMonkey integration.
• Additional products and services as we develop and release them.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Account Registration

To use certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

4. Acceptable Use

You agree not to use our Services to:

• Upload, transfer, or store any content that is illegal, infringing, defamatory, obscene, or otherwise objectionable
• Circumvent, disable, or interfere with any security or access control features
• Attempt to gain unauthorized access to our systems, networks, or other user accounts
• Use the Services to distribute malware, spam, or any harmful code
• Exceed the transfer limits of your plan through automated means or circumvention
• Reverse engineer, decompile, or disassemble any part of our Services
• Use the Services in any manner that could damage, disable, or impair our infrastructure

5. Plans and Pricing

SnapMonkey offers both free and paid subscription plans:

• Free Plan: Includes up to 200 file transfers per month, subject to the terms and limitations posted on our website.
• Paid Plans: Offer higher transfer limits and additional features as described on our pricing page.

We reserve the right to change our pricing, plans, and features at any time. If you are on a paid plan, we will provide reasonable advance notice of any price increase. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

Paid subscriptions are billed in advance on a recurring basis. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods.

6. Intellectual Property

Your Content

You retain full ownership of all photos, videos, and other content you transfer through our Services. We do not claim any ownership rights over your content. By using our Services, you grant us a limited, temporary license to receive, process, and deliver your content to your designated cloud storage provider(s) — and for no other purpose.

Our Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Llama Monkey LLC and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

7. Third-Party Services

Our Services integrate with third-party cloud storage providers (Microsoft OneDrive, Google Drive, Dropbox, and others). Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

You are solely responsible for maintaining your accounts with third-party providers and ensuring that your cloud storage has sufficient capacity to receive your transferred files.

8. FTP Credentials and Camera Configuration

SnapMonkey provides unique FTP credentials for your account to enable camera-to-cloud transfers. You are responsible for:

• Correctly entering the FTP credentials into your camera's WiFi/FTP settings
• Keeping your FTP credentials secure and not sharing them with unauthorized parties
• Ensuring your camera's firmware is compatible with FTP transfer

We are not responsible for failed transfers resulting from incorrect camera configuration, network issues on your end, or incompatible camera hardware or firmware.

9. LMID Account Linking

LMID (Llama Monkey ID) provides unified authentication across Llama Monkey products. By using LMID, you agree to the following:

• One LMID account may be linked to multiple Llama Monkey products. You are responsible for the security of your LMID credentials.
• By linking a product account to your LMID, you authorize us to share minimal identity data (name, email, unique identifier) between services for authentication purposes.
• You may be automatically signed in to linked products when you authenticate with LMID. You can manage active sessions and revoke access from your LMID dashboard.
• Deleting your LMID may affect access to all linked products. You will be given the option to unlink products before deletion.

10. LiftMonkey Usage

LiftMonkey allows you to download photos and videos from social media URLs. By using LiftMonkey, you agree to the following:

• You may only download media that you have the right to access. You are responsible for complying with the terms of service of the source platform.
• LiftMonkey is intended for personal use. Bulk downloading, automated scraping, or commercial redistribution of downloaded content is prohibited.
• We are not responsible for the availability of content on third-party platforms. Source platforms may change their APIs or terms at any time, which may affect LiftMonkey's functionality.
• Downloaded media is your responsibility once delivered to your browser or cloud storage.

11. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. Our Services are provided on an "as available" basis. We may experience downtime for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLAMA MONKEY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of photos, videos, or other data
• Failed or incomplete file transfers
• Unauthorized access to your account or content
• Loss of revenue or profits
• Service interruptions or downtime

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will meet your specific requirements, that transfers will always be successful, or that the Services will be uninterrupted, timely, secure, or error-free.

14. Indemnification

You agree to indemnify, defend, and hold harmless Llama Monkey LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you transfer through the Services

15. Termination

You may terminate your account at any time by contacting us at [email protected] or through your account settings.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or abusive activity, or extended periods of inactivity.

Upon termination:

• Your right to use the Services ceases immediately
• Any pending file transfers may not be completed
• Your FTP credentials will be deactivated
• We will delete your personal data in accordance with our Privacy Policy

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

17. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Llama Monkey LLC regarding your use of the Services and supersede any prior agreements.

20. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also notify you via email. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
